CLYNE, JR. has been awarded the distinguished “AV” rating for his professionalism and the quality of his legal work from Martindale-Hubbell, the premier directory of legal professionals. Mr. Clyne specializes in general tax planning, estate planning, corporate planning, and business mergers and acquisitions.   His diverse legal experience includes:

  • Advising individuals, families, and their businesses in estate and tax mitigation planning, including the design and execution of buy-sell agreements, wills, revocable trusts, irrevocable trusts, and other instruments;
  • counseling on compensation planning, including options and personal and corporate income tax planning;
  • representing estates, trusts, and their beneficiaries and assisting clients in addressing generation skipping tax issues;
  • counseling clients in connection with succession planning for their family business, and execution of actionable plans and documents implementing succession plans;
  • implementing the formation and start up of business ventures: corporations, partnerships, and limited liability companies, as well as the preparation of various shareholder and/or partnership agreements, and guidance to entrepreneurs;
  • negotiating and structuring purchases and sales of businesses, dispositions, and transactions;
  • representing client interests in the United States Tax Court and before the Internal Revenue Service and state tax agencies.

Mr. Clyne received a B.S., Cum Laude, in Accounting, from Seton Hall University; a Juris Doctorate from Rutgers University Law School; and an LL.M. in Taxation from New York University. Mr. Clyne is a former adjunct Professor of Taxation at Seton Hall University’s M.S. in Tax Program.

Mr. Clyne is a frequent lecturer at the New Jersey State Society of Certified Public Accountants and other forums. He has been quoted as an estate and tax expert in the Wall St. Journal and is a frequent radio guest.

Mr. Clyne is a Member of the bar of New Jersey and the New Jersey State Bar Association.  He is also a Certified Public Accountant and a member of the New Jersey Society of Certified Public Accountants.  He is also a member of the American Association of Attorney-Certified Public Accountants.  Mr. Clyne served in the 50th Armored Division Finance Company.

DANIEL M. BROWNSTEIN has extensive experience in the areas of commercial transactions including mergers, acquisitions and financings, estate planning and estate administration, commercial and residential real estate, including 1031 exchanges. He is also involved in income tax planning and compliance.

Prior to joining the firm, Mr. Brownstein worked for KPMG, Princeton University and served as Controller for a financial services company. Mr. Brownstein holds a Bachelor of Arts Degree in Accounting from West Chester University where he graduated Magna Cum Laude and earned his Juris Doctorate degree at Temple University while working on a full time basis.  Mr. Brownstein served as a Judicial Law Clerk to the Honorable Susan Devlin Scott in Bucks County, Pennsylvania.

Mr. Brownstein is a member of the bar of Pennsylvania and New Jersey. He is also a Certified Public Accountant and passed the CPA Exam in 1986 (achieving a distinction as one of the top five examinees in the state of Pennsylvania). He is also a member of the American Association of Attorney-Certified Public Accountants.

JOSEPH D. SULLIVAN (OF COUNSEL) is of counsel to our firm and admitted to the bars of New York and New Jersey.

Mr. Sullivan is a participating attorney with the AARP Legal Services Network.  Mr. Sullivan is a member of the Association of Trial Lawyers of America and the Nassau County Bar Association.

Mr. Sullivan has maintained a general litigation practice, specializing in estate litigation representing estates, executors and beneficiaries, personal injury, medical malpractice, and debt collection.

A graduate from Touro Law School, Cum Laude in 1991, Mr. Sullivan clerked for Appellate Court Judge of Superior Court, Murray Brochin.
